On 26 August 2015, the Directorate of Investment and Company Administration (“DICA”) published a “Notification for Companies” in the Global New Light of Myanmar.
On 26 August 2015, the Directorate of Investment and Company Administration (“DICA”) published a “Notification for Companies” in the Global New Light of Myanmar requiring all registered companies to inform DICA until 14 September 2015 on whether they are currently carrying on business:
“All registered companies (including companies with current or expired registration certificates) are advised that each company must inform DICA of whether the company is currently carrying on business by 14 September latest […]. ”
The notification does not prescribe a certain form for such notice, but requires contacting the head office or any branch of DICA by email, fax or post. However, upon enquiry, DICA confirmed the following formal requirements:
- The company shall send a letter on the company’s letterhead, stating the company’s registered address and whether the company is currently carrying on business;
- The letter may be signed by any person mentioned in the current Form XXVI (directors, managers and managing agents); and
- A copy of the current Form XXVI shall be attached.
The notification further states that “appropriate action in accordance with the Myanmar Companies Act 1914” may be taken against companies which do not provide such notice. Even though it is neither clear to which provisions of the Myanmar Companies Act (1914) DICA refers, nor on which legal grounds they require such notice, we strongly recommend to submit notice as required to avoid any adverse consequences. We further recommend submitting such notice in person to ensure receipt, as DICA may not issue any written confirmation.
